Terms of Service.
By using LawGPT you agree to these terms. They are written to be readable; the usual limitations and required legal language are present.
1. The agreement
These Terms govern your use of LawGPT, provided by LawGPT LLC. By creating an account or using the product you agree to these Terms on behalf of yourself and, if you represent an organization, that organization (the "Customer"). Our Privacy Policy, Acceptable Use Policy, and Data Processing Agreement are incorporated by reference.
2. The service
LawGPT is a software-as-a-service product for legal work, including document review, AI-assisted classification, and related features. We may add, change, or retire features over time; we will not remove a feature that you are meaningfully relying on without reasonable notice.
3. Accounts and users
You are responsible for maintaining the confidentiality of your credentials and for activity that happens under your account. Let us know immediately if you believe an account has been compromised.
4. Customer content
You retain all rights to content you upload or create inside your workspace. You grant us the limited rights necessary to host and process that content on your behalf. We do not use customer content to train AI models.
5. Acceptable use
Your use of the service is also governed by our Acceptable Use Policy. At a minimum:
- Do not use the product to break the law or another party's rights.
- Do not attempt to reverse engineer, scrape, or probe the product outside of any published security-research program.
- Do not upload content you do not have the right to upload, or content that is unlawful to process.
- Do not use the product to build a competing AI model or service.
6. Fees and billing
Paid plans begin when you complete checkout. Each plan includes a monthly allowance of credits that is consumed by your usage of the product; additional credits may be purchased as prepaid packs. Subscriptions renew monthly or annually depending on your selection. Fees are non-refundable except where required by law or where we have expressly agreed otherwise in writing. Subscription credits expire at the end of each billing period; purchased credits do not expire. We may change prices or credit allowances with 30 days' notice for the next renewal term.
7. Confidentiality
Each party will protect the other's confidential information with at least the same care it uses for its own, and will use it only for purposes of this agreement.
8. Warranties and disclaimers
We will provide the service with reasonable skill and care. Except as stated in these Terms, the service is provided "as is" and we disclaim all other warranties to the maximum extent permitted by law.
9. AI-generated content
LawGPT's services include features that rely on machine-learning models trained on third-party datasets. The information, summaries, classifications, and documents produced by those features may not be accurate, complete, or current. AI output is intended to assist qualified legal professionals with research, review, and drafting; it is not legal advice and is not a substitute for the independent judgment of a licensed attorney. You are responsible for verifying AI output before relying on it, citing it, filing it, or acting on it.
We make no representation or warranty as to the accuracy, completeness, fitness for a particular purpose, or legal validity of any AI-generated content. Use of the service is at your own risk, and to the maximum extent permitted by law we disclaim liability for any legal consequences arising from your reliance on AI output, including decisions taken, advice given, work product delivered, or filings made on its basis.
10. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, consequential, or punitive damages. Our aggregate liability to you for any claim arising out of these Terms will not exceed the fees you paid us in the twelve months before the event giving rise to the claim.
11. Indemnification
You will defend, indemnify, and hold harmless LawGPT LLC and its affiliates, officers, employees, and agents from and against any third-party claim, damage, liability, cost, or expense (including reasonable attorneys' fees) arising out of or related to: (a) any legal decision, advice, filing, or other action taken by you or your organization based on AI-generated content produced by the service; (b) your or your users' misuse of the service or violation of these Terms; (c) your failure to verify information obtained through the service before relying on it; or (d) content you upload that you did not have the right to upload or that is unlawful to process. We will tell you promptly about any claim and reasonably cooperate in the defense.
12. Termination
You may cancel at any time from the billing page in the product. We may suspend or terminate for material breach, giving you notice and a reasonable chance to cure where practicable. You may export customer content from the product at any time while your account is active. Permanent deletion of a workspace is initiated by an owner from workspace settings and is immediate and irreversible; if we terminate for breach we will, where practicable, give you reasonable notice and an opportunity to export before deletion.
13. Governing law
These Terms are governed by the laws of the Commonwealth of Puerto Rico, without regard to conflict-of-laws rules. The courts located in Puerto Rico have exclusive jurisdiction over disputes. Any claim arising out of these Terms must be brought within one (1) year of the event giving rise to it, or be permanently barred.
14. Changes
We may update these Terms. If we make material changes, we will give you at least 30 days' notice by email. If you don't agree, you can cancel before the changes take effect.
